Terms & Conditions

1. Scope

Provider: LAYEXA Digital Product & Web Design Studio, owner Fábian Gábor, Austria. These terms apply to planning, design, development, launch and — where agreed — hosting/domain setup.

2. Offers and contract

Website inquiries (7-question brief, site audit, contact) are non-binding. A contract is formed when the client accepts a written offer by email or when work begins with client consent. Scope and pricing follow the individual proposal and package description at the time of order.

3. Prices and payment

Prices are in EUR. LAYEXA operates under the Austrian small business VAT exemption; no VAT is shown. Unless agreed otherwise, a deposit is due before project start; balance on handover or per milestones. Invoices are payable within 14 days.

4. Client obligations

• Accurate contact and project information.
• Timely provision of copy, assets, logos and approvals.
• Access to domains/hosting where required.
• Secure handling of credentials; report suspected misuse promptly.

5. Intellectual property

After full payment, the client receives agreed usage rights for deliverables. Third-party licenses (fonts, stock, plugins) remain subject to their terms. LAYEXA may showcase completed work as a reference unless the client objects.

6. Hosting and infrastructure

Where hosting, domain, DNS or email is included, LAYEXA provisions services via certified partners. LAYEXA acts as technical administrator or agent; unless expressly agreed otherwise, the client remains domain holder and contracting party with the respective infrastructure providers.

Web hosting (WordPress): PHP hosting for CMS projects is provided via EU partners, especially easyname GmbH, Vienna. Cloudflare is not a substitute for PHP hosting on WordPress projects.

DNS, CDN and security: Where agreed, LAYEXA uses Cloudflare, Inc. for DNS, CDN, SSL/TLS and baseline attack protection. This may require nameserver changes at the registrar. The client provides required approvals and access.

Domain registration: International domains (e.g. .com, .net, .org) may — per offer — be registered via Cloudflare Registrar or other accredited partners. Country-code domains (.at, .de, .hu) are registered via accredited registrar partners (e.g. easyname, INWX), as Cloudflare Registrar does not offer these extensions. Registry terms also apply (e.g. nic.at for .at, DENIC for .de, ISZT/domain.hu for .hu).

Transfers and cancellations: Domain transfers require valid auth codes and client cooperation. Cancellations must be timely — for .at domains at least 14 days before expiry via LAYEXA. For .hu domains, the registry may require multi-factor authentication; the client supports setup. Registry fees are non-refundable once registration or renewal completes.

Availability: infrastructure partners target at least 99% annual uptime; planned maintenance is announced where possible at least 7 days ahead. Outages at registries, registrars, Cloudflare or hosting partners are outside LAYEXA's direct control.

Backups: Growth includes weekly automated backups when stated in the offer. Essential includes setup and guidance; ongoing backup responsibility lies with the client unless separately agreed. Clients should keep off-site copies of critical data.

Static projects: Pure static sites may — if agreed in the offer — be delivered via Cloudflare Pages or comparable services; PHP/WordPress hosting is not required for those.

7. Content and compliance

The client is responsible for published content and legal pages (legal notice, privacy). Unlawful content, spam or actions affecting security/availability are prohibited. LAYEXA may suspend affected services and notify the client.

8. Warranty and liability

LAYEXA performs services with professional care. Defects must be reported promptly. Liability for slight negligence is limited to foreseeable typical damage except for essential obligations, personal injury or mandatory statutory liability. Hosting outages caused by infrastructure partners or force majeure are not LAYEXA's responsibility beyond agreed scope.

9. Term and withdrawal

Project contracts end on acceptance/go-live unless a maintenance agreement continues. Hosting/domain renews per offer (usually yearly) unless cancelled in time. Consumers have a 14-day withdrawal right where applicable; domain/SSL/immediate start may limit refunds once services are fully delivered.
